WST SIGNATURE GUARANTEES

POLICY

Worldwide Stock Transfer will establish and maintain written "Standards, Procedures and Guidelines for the Acceptance of Domestic Signature Guarantees" (referred to as "Standards & Procedures [Domestic]") - for acceptance of signature guarantees in accordance with SEC Rule 17Ad-15. These written standards will apply to domestic guarantees – those performed within the U.S. and Canada (Section A).

Separate guidelines (Section B) for transfers from shareholders that originate outside of the U.S. and Canada, because of the variables and the difficulties and complexities of obtaining signature guarantees (especially the Medallion Signature Guarantee).

A.  The written Standards & Procedures [Domestic], will apply to all of the following
     Eligible Guarantor Institutions:
  1. Banks
  2. Brokers and dealers (municipal securities dealers and brokers, government securities dealers and brokers)
  3. Credit unions
  4. National securities exchanges, registered securities associations, clearing agencies
  5. Savings associations

  6. *There should be nothing but the medallion stamp and signature. There should be no date added next to them.
B.  Guidelines for Foreign Guarantees:
  1. Medallion Signature Guarantee stamps are not available in all countries. For transfers originating outside of the United States and its possessions and Canada, the following guarantee or "certification" of signatures, should be obtained.

    • Medallion guarantee stamp from a US bank with an office in the foreign country
    • Medallion guarantee stamp from a US brokerage firm with an office in the foreign country
    • Medallion guarantee stamp from any other "Eligible Guarantor Institution."
    • A guarantee from a foreign bank that has offices in the United States
    • "Certification of the signature(s)" from a US Embassy in the foreign country
    • "Certification of the signature(s)" from a US Consulate in the foreign country
    • A notary, certifying the signature - from those countries within which a notary is believed to carry the same level of certification and acceptance as a signature guarantee

  2. If the transfer instructions are not in English, then an official translation to English, certified by a US Embassy or by a US Consulate office is required.
